IN NO EVENT WILL MSU LIABILITY FOR ANY DAMAGES TO END USER OR ANY PERSON EVER EXCEED THE FEE PAID FOR THE LICENSE TO USE THE PRODUCT, REGARDLESS OF THE FORM OF THE CLAIM. IN NO EVENT SHALL MSU BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR OTHER SIMILAR DAMAGES, EVEN IF MSU OR ITS EMPLOYEES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SPECIFICALLY, MSU MAKES NO WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OF THE PRODUCT, OR NON-INFRINGEMENT OF THE CMP Video Support Tools OR DOCUMENTATION. Indemnification: End User shall indemnify, defend and hold harmless MSU, including its trustees, officers, and employees ("MSU Indemnitees") from and against any liability, loss, claims, damages or expenses (including attorney's fees and other litigation expenses) incurred by or imposed upon any of the MSU Indemnitees in connection with any claims, suits, actions, demands, or judgments arising out of the use by End User of CMP Video Support Tools.ĭISCLAIMER OF REPRESENTATIONS AND WARRANTIES: CMP Video Support Tools ARE PROVIDED "AS IS." MSU MAKES NO WARRANTY, EXPRESS OR IMPLIED, TO END USER OR TO ANY OTHER PERSON OR ENTITY. All rights not specifically granted in this Agreement are reserved by MSU. End User agrees to use reasonable efforts to protect the CMP Video Support Tools from unauthorized use, reproduction, distribution, or publication. MSU retains title to CMP Video Support Tools. You may make copies of the CMP Video Support Tools solely for the purposes permitted hereunder, however, MSU notifications of copyright must be left intact.Ĭommercial use of the product is strictly prohibited under this Agreement, and must be subject to a separate agreement negotiated in advance with MSU.
End User may not redistribute, transfer, rent, lease, sell, lend, sub-license, prepare derivative works, decompile, or reverse-engineer the CMP Video Support Tools without prior express written consent of MSU at the above address. CMP Video Support Tools are not to be used for research purposes.

License: Subject to the terms of the Agreement, MSU grants End User a limited, non-exclusive, royalty-free, non-transferable right to use the CMP Video Support Tools solely for CMP-specific educational and professional development purposes, which purposes are further defined as (a) learning about and explaining CMP (b) understanding CMP curriculum or (c) aiding in the implementation of CMP. End User must treat CMP Video Support Tools like any other copyrighted material. Notification of Copyright: CMP Video Support Tools are the intellectual property of Michigan State University ("MSU") and are protected by copyright laws and international treaty.
